End-User License Agreement

1. Agreement to Terms

This End-User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User" or "you") and Runabell Holdings LLC ("Company," "we," "our," or "us") governing your use of our software applications, integrations, websites, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services.

2. Description of Services

Runabell Holdings LLC provides property management technology, including but not limited to:

  • Vacation rental management dashboards and tools
  • Guest communication and concierge services
  • Financial management integrations (including QuickBooks Online)
  • Booking management and channel integrations
  • Smart home device management
  • Property operations and monitoring tools

3. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended business purposes. This license does not include the right to:

  • Modify, copy, or create derivative works of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Sublicense, sell, or redistribute the Services
  • Use the Services for any unlawful purpose

4. Third-Party Integrations

Our Services integrate with third-party platforms including but not limited to Intuit QuickBooks Online, Stripe, Lodgify, and Airbnb. Your use of these integrations is also subject to the respective terms of service and privacy policies of those third-party providers. We are not responsible for the availability, accuracy, or practices of third-party services.

5. Financial Data and QuickBooks Integration

When you authorize our application to connect to your QuickBooks Online account:

  • We access only the data necessary to provide our Services
  • We use industry-standard OAuth 2.0 authentication
  • We do not store your QuickBooks login credentials
  • You may revoke access at any time through your Intuit account settings
  • Data accessed through QuickBooks is handled in accordance with our Privacy Policy and Intuit's terms of service

6. User Responsibilities

You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized access
  • Use the Services in compliance with all applicable laws and regulations
  • Not interfere with or disrupt the Services or their infrastructure

7. Intellectual Property

All intellectual property rights in the Services, including software, designs, text, graphics, and trademarks, are owned by Runabell Holdings LLC or its licensors. This Agreement does not transfer any ownership rights to you.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNABELL HOLDINGS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

10. Indemnification

You agree to indemnify and hold harmless Runabell Holdings LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of this Agreement.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections 7 through 10 shall survive termination.

12. Modifications

We reserve the right to modify this Agreement at any time. Changes will be posted on this page with an updated revision date. Your continued use of the Services after changes constitutes acceptance of the modified Agreement.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts located in Sumter County, Florida.

14. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Runabell Holdings LLC regarding the use of the Services.
